Important Notice

BY ACCESSING OR USING ZYNTRIA WEB STUDIO ("SERVICE"), YOU AGREE TO THIS LICENSE AGREEMENT AND TERMS ("TERMS"). IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

These Terms are a legally binding agreement between you ("you" or "User") and XENRYA, LLC ("XENRYA," "we," "us," or "our") governing your access to and use of Zyntria Web Studio, including the editor, preview engine, templates, accessibility and UX tools, LMS optimizer, AI prompt generation tools, publishing and export tools, and related documentation (collectively, the "Service").

1. Eligibility and Account

You must provide accurate and complete information when creating an account and maintain the security of your login credentials. You are responsible for all activity that occurs under your account.

You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Zyntria Web Studio is a browser-based HTML authoring and preview tool designed to help users create, edit, preview, optimize, and export HTML for use in LMS platforms (for example Canvas), web pages, emails, and other environments.

The Service is general-purpose authoring software. We do not provide legal advice, accessibility certification, or regulatory compliance guarantees. You are responsible for verifying suitability and compliance for your use case.

3. Plans, Purchases, Billing, and Subscriptions

Plan Types

  • Free Plan: limited access to features and/or usage caps. Availability and limits may change over time.
  • Pro (Core Studio): a one-time purchase that unlocks paid features for the Service (the "Core License").
  • Pro Library: an optional annual subscription that provides access to ongoing template releases and other subscription-only content, if offered.

One-Time Purchase and License Grant

A Pro (Core Studio) purchase is a non-subscription, one-time fee. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service features included with your Pro (Core Studio) purchase for your internal use.

This purchase grants a license to use the Service and does not transfer ownership of the software, platform, templates, technology, or intellectual property associated with Zyntria Web Studio. All rights not expressly granted are reserved by XENRYA.

You may not resell, sublicense, redistribute, or commercially exploit the Service, templates, or outputs in a manner that competes with the Service or attempts to replicate the functionality of Zyntria Web Studio.

Updates Included for 12 Months

If your Pro (Core Studio) purchase includes "12 months of updates," it means that for 12 months following your purchase date, you will have access to updates we release for the Pro (Core Studio) offering. Updates may include bug fixes, minor improvements, and feature enhancements. We do not guarantee any particular update frequency, and update scope may vary. Major new products, separately priced features, or third-party integrations may not be included.

After the Update Period

After the 12-month update period ends, you may continue using the Service as provided with your Pro (Core Studio) purchase, but access to new updates or newly released content may require an active subscription (including Pro Library, if offered) or another paid upgrade. Feature availability may change over time as described in Section 7.

Pro Library Subscription

Pro Library is optional. If you purchase Pro Library, you authorize us (and our payment processor) to charge your selected payment method for recurring subscription fees, applicable taxes, and any other charges you authorize.

Auto-Renewal

Pro Library subscriptions automatically renew at the end of each annual billing period unless you cancel before the renewal date.

Cancel Anytime

You may cancel Pro Library at any time through your account or billing portal (when available). Cancellation prevents future renewals. Unless required by law, cancellation does not automatically refund fees already paid for the current billing period.

Changes to Pricing, Plans, or Included Features

We may change plans, pricing, and included features from time to time. If we change the price of a subscription, we will provide reasonable notice and will not apply the new price until your next renewal, unless otherwise required by law or agreed by you. Founding member pricing, if offered, applies to the initial purchase and does not guarantee future pricing.

Refunds

Except where required by applicable law, fees are non-refundable. If you believe you were billed in error, contact support promptly. Any discretionary refunds are granted at our sole discretion.

Free Plan Limitations and Gating

The Free Plan provides limited access. Certain features, usage levels, storage, exports, templates, and other capabilities may be gated behind paid offerings. We may modify Free Plan limits to protect Service reliability and prevent abuse.

Lifetime License Definition

Certain purchases of Pro (Core Studio) may be described as providing "lifetime access" or a "lifetime license." For purposes of these Terms, "lifetime" refers to the commercial lifetime of the Zyntria Web Studio product and service, not the lifetime of the purchaser.

The commercial lifetime of the Service means the period during which Zyntria Web Studio is actively offered, maintained, and made available by XENRYA. If the Service or a substantial portion of its functionality is discontinued, retired, or permanently shut down, the lifetime license will end at that time.

No Guarantee of Perpetual Service

A lifetime license does not guarantee perpetual operation of the Service, perpetual hosting of cloud features, perpetual availability of updates, or perpetual technical support. The Service may evolve over time, and features, integrations, or hosted components may be modified, replaced, or discontinued.

Right to Discontinue the Service

XENRYA reserves the right to modify, suspend, or discontinue Zyntria Web Studio, or any portion of the Service, at any time for business, technical, or legal reasons. If the Service is discontinued, access to the Service may terminate after reasonable notice to users when feasible.

4. Cloud Storage, Sharing, and Data Retention

Certain features of the Service allow users to store projects online, synchronize projects across devices, or generate publicly accessible share links. These capabilities are referred to collectively as "Cloud Features."

Free Plan Limitations

Users of the Free Plan primarily use the Service locally within their browser environment. The Free Plan may restrict or disable Cloud Features, including the ability to store projects online, synchronize projects to the Service, upload content to cloud storage, or generate public sharing links. We may modify Free Plan limits at any time to maintain service reliability and prevent abuse.

Pro Plan Cloud Access

Users with a valid Pro license or subscription may receive access to Cloud Features, including the ability to store projects online, synchronize projects, and generate public share links. Access to Cloud Features is subject to the limits and policies described in these Terms.

Storage Limits

Cloud storage provided through the Service may be subject to reasonable usage limits or quotas. These limits are designed to maintain system performance and ensure fair access for all users. If a user exceeds applicable storage limits, the Service may restrict additional uploads, project saves, or synchronization until storage usage falls within permitted limits.

Project Expiration and Automatic Deletion

To maintain system performance and control long-term storage costs, projects and shared content stored through Cloud Features may be automatically removed after a defined retention period. Unless otherwise stated, cloud-stored projects and shared projects may be automatically deleted approximately one hundred eighty (180) days after their creation.

After this retention period expires, the Service may automatically remove the stored project or shared content without additional notice. Users are responsible for maintaining their own backups of important work and exporting or saving projects locally if long-term retention is required.

No Guarantee of Permanent Storage

The Service is not intended to function as a permanent archival or backup system. We do not guarantee indefinite storage, long-term availability, or recovery of cloud-stored projects or shared content. Users should maintain their own copies of important materials.

Service Protection and Abuse Prevention

We reserve the right to implement technical protections intended to protect the reliability and stability of the Service, including storage limits, automated cleanup processes, usage restrictions, or other safeguards. These protections may be adjusted from time to time as part of normal service operation.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or attempt to derive source code from the Service.
  • Bypass or interfere with security or sandboxing mechanisms.
  • Use the Service to create or distribute malware, spyware, or unlawful content.
  • Use the Service in violation of applicable law or third-party platform policies.
  • Use automated means to access the Service in a manner that materially impairs the Service for others.

5. User Content and Ownership

You retain ownership of the HTML, text, images, and other content you create or upload ("User Content"). You are responsible for ensuring your User Content complies with law and platform policies.

We do not claim ownership of your User Content. To operate the Service (for example saving, syncing, and rendering your projects), you grant us a limited license to host, process, transmit, and display your User Content solely as necessary to provide the Service.

6. Third-Party Services (Including AI Providers)

The Service may integrate with or link to third-party services (including AI providers). Those services are governed by their own terms. We are not responsible for third-party services, availability, output accuracy, or policy compliance.

If the Service provides AI-assisted prompts or suggestions, you are responsible for reviewing and validating all outputs before use or publication. AI suggestions may be inaccurate, incomplete, or unsuitable for your requirements.

7. Public Share Feature

The Service may allow you to generate a public link to a temporary copy of your project ("Shared Project"). Shared Projects are accessible to anyone who obtains the link. Shared Projects and associated links are automatically deleted approximately seven (7) days after creation, but we do not guarantee deletion timing, availability, or accessibility.

You Are Solely Responsible

You are solely responsible for all content, code, text, images, scripts, embedded resources, links, and other materials included in any Shared Project. You represent and warrant that you have all necessary rights, licenses, and permissions to share such content and that sharing does not violate any law, contract, intellectual property right, privacy right, or third-party policy.

No Monitoring; No Editorial Control

We are not obligated to monitor, review, pre-screen, or moderate Shared Projects. We do not endorse, verify, or assume responsibility for any Shared Project. The Service functions as a neutral hosting and transmission platform for user-generated content.

Prohibited Content

You agree not to use the Share feature to distribute or make accessible:

  • Unlawful, defamatory, harassing, hateful, discriminatory, or violent content.
  • Sexually explicit material involving minors or any content that exploits or endangers minors.
  • Content that infringes intellectual property, privacy, publicity, or contractual rights.
  • Malware, exploit code, phishing pages, or other harmful or deceptive content.
  • Content intended to impersonate others or mislead recipients.

DMCA and Takedown

If we receive a complaint or believe a Shared Project violates these Terms or applicable law, we may remove, disable access to, or investigate the Shared Project without notice. We may cooperate with law enforcement or rights holders as required by law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XENRYA DISCLAIMS ALL LIABILITY ARISING FROM OR RELATED TO ANY SHARED PROJECT, INCLUDING ANY CLAIMS BASED ON DEFAMATION, INTELLECTUAL PROPERTY INFRINGEMENT, PRIVACY VIOLATIONS, SECURITY VULNERABILITIES, OR UNLAWFUL CONTENT PUBLISHED BY USERS.

Indemnification for Shared Projects

You agree to defend, indemnify, and hold harmless XENRYA, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your Shared Projects, your use of the Share feature, or your violation of these Terms or applicable law.

8. Availability, Changes, and Support

The Service may rely on hosted infrastructure, cloud storage, third-party providers, and internet connectivity. Availability of certain features may depend on these external systems and services.

We may change, suspend, modify, or discontinue any part of the Service at any time, including features, limits, integrations, pricing, or hosting components, subject to Section 3.

We do not guarantee that the Service will be continuously available, error-free, or supported indefinitely. Scheduled maintenance, technical issues, infrastructure changes, or product evolution may affect availability.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUT OR GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XENRYA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

XENRYA'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO XENRYA FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) FIFTY U.S. DOLLARS (USD $50).

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, use the Service unlawfully, or if necessary to protect the Service, users, or third parties.

Upon termination, your right to access paid features ends. Subject to applicable law, we may retain or delete your account and content in accordance with our Privacy Policy and data retention practices.

12. Governing Law; Disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of laws principles.

You agree that any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting an updated version on this page). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
